Specifically, yields refer to natural products derived from a property, independent of human intent. In practice, yields are also known as “fruits of the property” and they may originate from crops, livestock, or other similar sources.

Income refers to material benefits generated from the use or exploitation of property. Income may arise from leasing, investing, conducting business, or other lawful means of utilizing the property. It is important to distinguish income from increased market value of the property due to market fluctuations, as such value increases do not qualify as income in the legal sense. This distinction is particularly relevant when resolving legal consequences of invalid contracts or asset-related disputes.

Illustration: Party A sells an apartment to Party B for VND 3 billion. Party B makes full payment and receives possession of the apartment. Over the course of one year, Party B leases the apartment and earns VND 120 million. Subsequently, the court declares the sales contract invalid. At that time, the market value of the apartment has increased to VND 4.2 billion. When addressing the legal consequences of the invalid contract, the VND 120 million in rental income is retained by Party B as lawful income, while the VND 1.2 billion in market value increase is excluded from compensation.

2.Criteria for Determining Good Faith

The Civil Code does not specifically prescribe criteria for identifying a good-faith party (bona fide party) in the context of yields and income derived from an invalid contract. However, based on general provisions on possession in good faith, one may infer that a good faith party is: A party who has reasonable grounds to believe that they have legal rights to the property being possessed under a valid civil transaction (e.g., believing the contract was legally effective); or A party who did not know and was not obliged to know that their possession of the property lacked legal basis (e.g., unaware that the property being transferred was jointly owned and required consent from all co-owners).

3.Legal Treatment of Yields and Income Received in Good Faith Under an Invalid Contract

In practice, for contracts involving the transfer of property, delivery of the asset often occurs before the contract is declared invalid. During the period of possession, yields and income may arise from the property through natural growth or lawful exploitation. To protect the interests of the good-faith recipient, the Civil Code provides that yields and income obtained in good faith are not subject to restitution upon contract invalidation.

Mr. A enters into a house purchase contract with Ms. B, pays in full, and takes possession of the property. Over two years, he leases the property and earns VND 240 million in rental income. Later, Ms. B’s husband files a lawsuit claiming the property is marital property and that the contract is invalid since only Ms. B signed it without the husband’s consent or authorization. The court declares the contract invalid due to a lack of authority over jointly owned property.

At the time of the transaction, Mr. A neither knew nor was required to know that the property was jointly owned. Ms. B’s name appeared on the Certificate of Land Use Rights, House Ownership, and Other Assets Attached to Land, and she executed the contract directly. Mr. A is therefore identified as a good-faith party. Under Clause 3, Article 131 of the Civil Code, Mr. A is not required to return the VND 240 million in rental income, as it qualifies as lawful income earned during his good-faith possession, despite the subsequent invalidation of the contract.

In civil transactions, parties typically act voluntarily, in good faith, and in compliance with legal regulations to obtain legitimate benefits. However, not all transactions yield expected results, especially when contracts are invalidated due to objective legal deficiencies or factors beyond the parties’ control. In such cases, identifying and protecting the rights of the good-faith party – who entered into and performed the contract honestly, lawfully, and without fault – is essential and consistent with the principles of the Civil Code. 1. Obligation to compensate damages arising from an invalid contract

i) Actual and direct damages

Current Vietnamese law does not explicitly regulate specific types of damages directly compensable in cases of invalid contracts; therefore, judicial practice commonly applies principles analogous to those governing cases of contractual breach. Specifically, in cases involving contractual breaches, actual and direct damages typically include five categories: property loss; reasonable expenses incurred to prevent, limit, or remedy the damage; actual income losses or reductions; benefits expected from contract performance; and other expenses arising from contractual non-performance that do not overlap with the expected contractual benefits.

Referring to Resolution No. 01/2003/NQ-HDTP and Resolution No. 02/2004/NQ-HDTP issued by the Judicial Council of the Supreme People’s Court concerning invalid contracts for land-use rights transfer or housing sales, actual and direct damages include:

• The difference between the property’s value determined at the time of the first-instance trial and the value initially agreed upon by the parties. Accordingly, the guidance provided in the two aforementioned Resolutions serves merely as orientation and does not preclude the possibility that the involved parties may request a re-evaluation of the asset’s value at subsequent judicial levels, such as appellate or cassation proceedings, should they disagree with the first-instance judgment and pursue further litigation at higher levels.

• Expenses incurred by the seller to restore the returned asset to its original condition (e.g., repair costs if the buyer damaged the asset). The guidelines in the above-mentioned Resolutions are to be understood as merely advisory and do not exclude other reasonable expenses necessary to prevent or mitigate damages, if any.

• Amounts invested by the purchaser to improve or increase the asset’s value compared to its original state (e.g., construction of additional structures on the property).

There is an opinion that compensable damages in the event of contract invalidation do not encompass expected profits or hypothetical benefits that would have accrued if the contract had remained valid. At the time of contract formation, these benefits were speculative and had not materialized. Since the primary objective upon contract invalidation is to restore the parties to their original state as if no contract had been formed, claiming hypothetical benefits is legally inappropriate and contradicts the purpose of restoring the initial conditions.

ii) Degree of contract performance

According to the guidance in Resolutions No. 01/2003 and 02/2004, when determining compensation liabilities arising from invalid contracts, the actual extent to which the contract has been performed must be considered. As a fundamental principle, compensable damages must be actual and directly attributable to the invalidation. Thus, if the parties have only partially fulfilled their contractual obligations, damages will be assessed proportionally to the extent of actual performance, rather than based on the full contractual value initially agreed upon by the parties.

iii) Fault of the involved parties

Upon declaration of contract invalidity, fault may arise from one party, both parties, or neither party. Under the 2015 Civil Code, where one or both parties are at fault in causing the invalidation and subsequent damages, liability for compensation will be determined according to the degree of fault of each party. Based on Resolutions No. 01/2003 and 02/2004, three scenarios may be distinguished clearly:

• First scenario: If the injured party is entirely free from fault, the party at fault shall be liable to compensate the total damages incurred due to contract invalidation.

• Second scenario: If the injured party is entirely at fault for the invalidation, the other party is exempt from liability to compensate damages.

• Third scenario: If both parties share fault in the invalidation, liability for damages is allocated proportionately to their respective degrees of fault. In cases where fault is evenly distributed, each party bears an equal share of liability.

3. Judicial practice

In practice, determining compensation liabilities for invalid contracts is often challenging, particularly in complex disputes involving real estate or intangible assets. For example, if the purchaser constructs additional buildings on land subsequently subject to invalidation due to non-compliance with statutory conditions, courts must carefully assess asset values before and after improvements, reasonable restoration costs, and subjective faults of involved parties.

Furthermore, assessing each party’s fault and determining their respective degrees of fault are frequently problematic, given that fault assessment must rely upon the parties’ subjective intentions at the time of contract formation. As subjective intentions are inherently challenging to discern, courts typically rely upon objective behaviors and external manifestations exhibited by the parties throughout the contracting process to infer their true intent. Specifically, fault assessment for damage compensation hinges upon parties’ violations at the contract formation stage. For instance, if a party knew or should have known the contract risked invalidation due to non-fulfillment of statutory requirements, yet intentionally proceeded with its formation or purposefully induced the other party to enter into the agreement, such conduct can substantiate fault attribution in causing damage due to contract invalidation.

2. Restitution of Received Assets

2.1. Restitution of Specific Types of Assets

i) Movable Property

For the distinctive asset, restitution in kind should be understood as requiring the recipient to return the exact asset received. In the case of generic assets, the parties may return equivalent assets of the same type. However, restitution of movable property may not be feasible in the following situations:

– The asset has been exploited or used;
– The asset has been lost or damaged;
– The asset has been transferred to a third party and subsequently exploited, used, lost, damaged, or has exceeded its useful lifespan;
– The asset no longer maintains its original quality, function, or utility due to the fault of the recipient, such as failing to preserve it according to regulations;
– One or more parts of the asset have been lost and cannot be restored to its original state.

If restitution in kind is impossible, the recipient is obligated to compensate in cash based on the value agreed upon by the parties, unless otherwise stipulated.

ii) Immovable Property

Immovable property is considered a specific asset. As a general principle, the recipient of the property is obligated to return it to the transferor when the contract is declared invalid. If the recipient has dismantled, repaired, added new elements, or invested in enhancing the property’s value, the resolution shall depend on the specific circumstances. The resolution methods may include::

– If the recipient has dismantled or repaired the property, they must restore it to its original state and remove any modifications to ensure the property is returned in its initial condition;

– If the recipient has made new additions or investments that increase the property’s value, according to Article 579.2 of the 2015 Civil Code regarding the obligation to return unjustly acquired assets, the court may require the recipient to compensate the party that created the added value when declaring the contract invalid. Judicial practice indicates that resolution approaches may include: (i) If the additional asset was legally created, the recipient must compensate for the added value; (ii) If the additional asset was created unlawfully or the transferor objects to the enhancement, the recipient may be required to remove the added elements. Alternatively, the parties may agree upon another resolution that complies with legal provisions.

iii) Intangible Assets, Work

When the object of a contract involves intangible assets (such as property rights), restitution in the event of contract invalidity often becomes more complex. Intangible assets lack a physical form, making it nearly impossible to restore them to their original state once they have been used or consumed.

Article 131.2 of the 2015 Civil Code reveals certain limitations in addressing the legal consequences of contracts involving work. Specifically, if a contract’s object involves work already performed or completed before being declared invalid, restitution becomes impracticable. This is particularly evident in contracts for services, transportation, consultancy, and similar transactions, where the performance is non-physical.

Furthermore, if a contract is declared invalid due to violating prohibitions under the law or contravening social ethics, restitution becomes even more complicated, especially when the contract concerns personal rights. iv) Money

In instances where the object of the contract is an asset, and restitution in kind is unfeasible due to the asset being lost, destroyed, or otherwise no longer in existence, the party obligated to return the asset must provide monetary compensation equivalent to its value. This ensures adherence to the principle of restitution and safeguards the legal rights of the entitled party.

2.2. Timing of Restitution

The 2015 Civil Code does not provide an explicit provision regarding the specific timeframe within which parties must fulfill their obligation to return what they have received when a contract is declared invalid. However, judicial practice indicates that, in the absence of a statutory deadline for restitution, the dispute resolution authority, upon declaring the contract invalid and adjudicating its legal consequences, shall determine the appropriate timeline for restitution. As a general principle, restitution is typically mandated at the point when the court judgment or decision becomes legally effective unless the parties have mutually agreed upon an alternative arrangement in accordance with the law.
